1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you and Provenance Guild regarding your use of our website and engagement of our investment consulting services. By accessing our website or engaging our services, you agree to be bound by these terms.

If you do not agree with these terms, you should not use our website or services. We reserve the right to modify these terms at any time, with changes becoming effective upon posting to our website.

2. Definitions

For purposes of these Terms and Conditions:

  • "Service" or "Services" refers to investment consulting services provided by Provenance Guild
  • "Client" or "You" refers to any individual or entity engaging our services
  • "We," "Us," or "Our" refers to Provenance Guild
  • "Engagement" refers to a specific consulting service arrangement documented through formal agreement
  • "Website" refers to our online presence at provenics.live
  • "Agreement" refers to the complete terms governing our relationship, including these Terms and Conditions and any specific engagement agreements

3. Eligibility and Capacity

Our services are intended for individuals aged 18 years or older who have the legal capacity to enter into binding agreements. By engaging our services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • All information you provide is accurate and complete
  • You will comply with all applicable laws and regulations

4. Description of Services

Provenance Guild provides investment consulting services in Taiwan, including:

  • Heritage Consultation: Initial assessment of investment opportunities
  • Stewardship Advisory: Guided support through investment processes
  • Legacy Management Program: Comprehensive engagement for significant investments

Specific service scope, deliverables, and fees are documented in individual engagement agreements. Services are provided based on information you supply and circumstances as they exist at the time of engagement.

5. Engagement Terms

5.1 Engagement Agreement

Each consulting engagement requires a written agreement specifying scope, deliverables, timeline, and fees. Services commence upon execution of this agreement and receipt of any required initial payment.

5.2 Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for our services
  • Respond promptly to requests for information or documentation
  • Notify us of any changes affecting the engagement
  • Maintain confidentiality of sensitive information shared during engagements
  • Comply with all applicable laws and regulations

6. Fees and Payment Terms

6.1 Service Fees

Our standard service fees are:

  • Heritage Consultation: NT$10,500
  • Stewardship Advisory: NT$37,500
  • Legacy Management Program: NT$62,500

6.2 Payment Terms

Payment terms are specified in individual engagement agreements. Generally:

  • Heritage Consultation: Full payment upon engagement
  • Stewardship Advisory: 50% upon engagement, 50% upon completion
  • Legacy Management Program: Payment schedule established in engagement agreement

6.3 Additional Costs

Fees for third-party professionals (legal counsel, accountants, industry specialists) are arranged separately and are not included in our service fees. We coordinate these engagements but clients are responsible for direct payment to these professionals.

6.4 Currency and Taxes

All fees are quoted in New Taiwan Dollars (NT$). Applicable taxes will be added to invoices as required by Taiwan law. Payment is due within 30 days of invoice date unless otherwise specified.

7. Intellectual Property

7.1 Our Property

All methodologies, processes, analyses, and materials created by Provenance Guild remain our intellectual property. We grant clients a limited, non-exclusive license to use engagement deliverables solely for their intended purpose.

7.2 Client Information

Clients retain all rights to information and materials they provide to us. We use such information solely for purposes of providing consulting services and maintaining our professional relationship.

8. Confidentiality

We maintain strict confidentiality regarding all client information and engagement details. Information is disclosed only:

  • With your explicit consent
  • To professional service providers engaged for your benefit (under confidentiality agreements)
  • As required by law or regulatory authorities
  • To protect our legal rights in disputes

9. Disclaimers

9.1 Professional Advice

Our services provide investment consulting guidance based on information available at the time of engagement. We do not provide legal, accounting, or tax advice. Clients should engage qualified professionals for these services.

9.2 No Guarantees

We do not make representations or provide assurance regarding specific investment outcomes or returns. Investment decisions carry inherent uncertainties and clients bear responsibility for final decisions.

9.3 Service Provision

Services are provided on an "as is" basis. While we employ professional standards and careful methodology, we make no warranties regarding specific results or outcomes.

10. Limitation of Liability

To the maximum extent permitted by Taiwan law:

  • Our total liability for any claim shall not exceed the fees paid for the specific engagement giving rise to the claim
  • We are not liable for indirect, consequential, special, or punitive damages
  • We are not liable for losses arising from client decisions or third-party actions
  • Claims must be brought within one year of the circumstances giving rise to the claim

This limitation does not apply to liability that cannot be excluded under Taiwan law, including liability for fraud or willful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Provenance Guild, its principals, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from:

  • Your breach of these terms
  • Your violation of any law or regulation
  • Inaccurate or incomplete information you provide
  • Your use of our services in a manner not authorized by our engagement agreement

12. Termination

12.1 By Client

You may terminate an engagement with written notice. Fees for services completed to date of termination remain due and payable.

12.2 By Provenance Guild

We may terminate an engagement if:

  • You breach material terms of our agreement
  • Payment obligations are not met
  • Circumstances arise creating conflict of interest or ethical concerns
  • Continuation would violate professional obligations or applicable law

12.3 Effect of Termination

Upon termination, we will provide documentation of work completed to date. Confidentiality obligations survive termination.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and Conditions are governed by the laws of Taiwan. Any disputes arising from or relating to our services shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.

13.2 Informal Resolution

We encourage clients to contact us directly to resolve any concerns before pursuing formal dispute resolution. Many issues can be addressed through discussion.

13.3 Mediation

If informal resolution proves unsuccessful, parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.

14. General Provisions

14.1 Entire Agreement

These Terms and Conditions, together with any engagement agreement, constitute the entire agreement between parties regarding our services and supersede all prior communications or agreements.

14.2 Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights to a successor entity.

14.5 Notices

All notices must be in writing and sent to the addresses specified in the engagement agreement or to [email protected] for general inquiries.

15. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or by email. Continued use of our services after changes become effective constitutes acceptance of the modified terms.

For ongoing engagements, modifications become effective upon renewal or extension of the engagement agreement.
